LinkMiUp Beta Participation Agreement

Version 2.0 · Last updated 10/25/2026

BETA PARTICIPATION AGREEMENT

PARTIES

This agreement is between Leopold Isaacs, trading as LinkMiUp, of 106 Dysons Road, Edmonton, London, N18 2DJ (we, us or our); and the person or business that accepts this agreement when they register to take part in the beta of the LinkMiUp platform, as shown in our records (you).

This agreement starts on the date you accept it.

BACKGROUND

We run LinkMiUp, an online platform that helps people plan and structure home extension and refurbishment projects, find independent professionals, and keep a record of project activity. The platform is being tested in a beta (testing) phase.

You want to take part in the beta as a Project Owner, a Project Expert, or both.

LinkMiUp is a platform only. We do not provide the professional or construction services that Project Experts provide, and Project Owners and Project Experts make their own contracts directly with each other.

AGREED TERMS

DEFINITIONS AND INTERPRETATION

Definitions

1. In this agreement:

1) Beta means the testing phase of the Platform described in this agreement.

2) Consumer means an individual who takes part in the Beta wholly or mainly for purposes outside their trade, business, craft or profession.

3) Participant Content means information, documents, drawings, messages, reviews, images and other material that you upload or submit to the Platform.

4) Platform means the LinkMiUp website at www.linkmiup.com and the tools and services available through it.

5) Privacy Policy means our privacy policy at https://www.linkmiup.com/privacy/read, as updated from time to time.

6) Project Owner means a person or business that creates or manages a project on the Platform.

7) Project Expert means an independent professional, contractor, tradesperson, consultant, supplier or other specialist that offers or provides services on a project.

8) Terms of Use means our Website and Platform Terms of Use at https://www.linkmiup.com/terms/read, as updated from time to time.

Interpretation

1. A reference to a clause or a Schedule is to a clause of, or a Schedule to, this agreement. Headings are for convenience only. The word “includes” is not a word of limitation. If you take part as both a Project Owner and a Project Expert, both Schedules apply to you.

THIS AGREEMENT

Accepting this agreement

1. You accept this agreement by ticking the acceptance box when you register for the Beta, or by using the Beta after we have asked you to accept it. We will keep a record of your acceptance. We will email you a copy of this agreement when you register.

How the documents fit together

1. The Terms of Use also apply to you, and our Privacy Policy explains how we use personal data. If there is a conflict between this agreement and the Terms of Use about the Beta, this agreement prevails. Schedule 1 applies to you as a Project Owner and Schedule 2 applies to you as a Project Expert.

Your legal rights

1. If you are a Consumer, nothing in this agreement affects your legal rights.

THE BETA

What the Beta is

1. The Beta lets you test the Platform and tell us what works and what does not. You are not required to use the Platform for any minimum amount or period.

No fees

1. We do not charge you any fee to take part in the Beta, and we do not charge fees for introductions, appointments or withdrawals during the Beta. If we introduce fees after the Beta, we will tell you first and we will not charge you unless you agree.

The Platform may change

1. The Platform is in testing. It may contain errors, change without notice, be slow, or be unavailable from time to time. Please do not rely on it as your only record of important project information, and keep your own copies of important documents.

Length of the Beta

1. We expect the Beta to run for about three months from October 2026. We may extend, change or suspend the Beta at any time. We may end the Beta by giving you at least 14 days’ notice by email, or straight away if we reasonably need to in order to protect users or the Platform or to comply with the law. Where reasonably possible, we will let you download your Participant Content before the Beta ends.

No commitment to a full service

1. We have not promised to launch a full commercial service. If we do, you will need to accept new terms to continue to use it.

OUR ROLE

We provide the Platform only

1. We provide the Platform. We are not an architect, engineer, surveyor, quantity surveyor, contractor, project manager, inspector, solicitor, financial adviser or other professional or construction service provider, and we do not provide those services. We do not supervise, inspect or approve any work.

We are not a party to your project contracts

1. If a Project Owner and a Project Expert decide to work together, they make their own contract directly. We are not a party to that contract and we are not the agent of either of them. We do not guarantee that either of them will carry out their obligations.

Guidance, matching and verification

1. The Platform’s project guidance, checklists, cost and risk tools, and any suggestions made with the help of artificial intelligence are general guidance only. They are not professional, legal, financial or technical advice, and they may be incomplete or wrong.

Where the Platform suggests Project Experts for a project, they are shown as potentially suitable based on the information given and, where shown, verified. A suggestion is not a recommendation, endorsement or guarantee.

Verification statuses mean what is set out in the Terms of Use. Verification covers only the item we checked, on the date shown. It does not mean that we have assessed an Expert’s competence, the quality of their work, their financial standing, the adequacy of their insurance or their suitability for a project.

We do not handle project money

1. We do not take, hold or process payments between Project Owners and Project Experts. They agree and make those payments directly with each other.

YOUR RESPONSIBILITIES

Everyone

1. You must:

1) give us accurate and complete information and keep it up to date;

2) keep your login details secure and tell us at once if you think someone else has used your account;

3) use the Platform lawfully and in line with the Terms of Use;

4) carry out your own checks before you decide to work with another user;

5) be honest and respectful in your dealings with other users; and

6) have the right to upload your Participant Content and to give us the licence in the Terms of Use.

Beta information

1. You may see features of the Platform that we have not released. Please do not share screenshots or details of those features publicly without our permission.

FEEDBACK AND INTELLECTUAL PROPERTY

Your feedback

1. We would like your feedback. If you give us feedback about the Platform, we may use it without paying you or crediting you, and you do not own any improvement we make as a result.

Our intellectual property

1. We own, or are licensed to use, the Platform and all intellectual property rights in it. Nothing in this agreement transfers those rights to you. You keep ownership of your Participant Content, subject to the licence in the Terms of Use.

DATA AND PRIVACY

Your personal data

1. We explain how we use your personal data in the Privacy Policy. We are the controller of the personal data on the Platform that we collect and decide how to use.

Other users’ personal data

1. When a Project Owner and a Project Expert share personal data with each other through the Platform, each of them is responsible for how they use the personal data they receive. You must only use another user’s personal data for the project it was shared for and in line with data protection law, and you must keep it secure.

REVIEWS, CONDUCT AND RECORDS

Reviews

1. Reviews must be honest, based on the reviewer’s own experience, lawful, and not defamatory or abusive. You must not post fake, misleading or incentivised reviews. We may withhold, mark as “Under Review” or remove a review that we reasonably believe breaks these rules or that is the subject of a complaint.

Records of activity and conduct

1. We may keep records of project activity on the Platform, such as when a project is created, an Expert is appointed or accepts, or an Expert withdraws after accepting. During the Beta, these records are used by us to run and improve the Platform, and are not shown to other users.

Fair process before an adverse record

1. Before we make an adverse record about you visible to other users, or take permanent action because of reported conduct, we will:

1) tell you what has been reported and what we propose to do;

2) give you at least 14 days to respond;

3) consider your response; and

4) tell you our decision and, if we proceed, include your response with the record if you ask us to.

While we look into a report, we may mark the relevant profile or review as “Under Review”. Where we reasonably believe it is necessary to protect users or the Platform, we may suspend an account straight away and complete this process afterwards.

COMPLAINTS, SUSPENSION AND ENDING

Complaints

1. If you have a complaint about the Platform or about another user’s conduct on it, email us at contact_us@linkmiup.com. We will acknowledge your complaint within 5 working days, look into it, and tell you what we have decided.

We do not decide disputes between users

1. We are not an arbitrator or mediator of disputes between a Project Owner and a Project Expert about fees, quality of work, delay or their contract. We will not decide who is right. We may look into reports about conduct on the Platform, and we may take action under clause 9.3, but users must resolve their disputes between themselves, through mediation or other dispute resolution, or through the courts.

Suspension and ending

1. We may suspend or end your participation, and remove Participant Content, if we reasonably believe that you have broken this agreement or the Terms of Use, acted unlawfully, put another user or the Platform at risk, or if the law requires us to. Where reasonable, we will tell you why and follow clause 8.3 first.

You may stop taking part at any time by closing your account or telling us. If you have agreed to work with another user through the Platform, ending your participation does not end your contract with that user.

What happens when this agreement ends

1. When this agreement ends, we will deal with your personal data and Participant Content in line with the Privacy Policy. Clauses that are meant to continue after the end of this agreement, including clauses 6, 7, 10 and 11, will continue.

LIABILITY

What is not limited

1. Nothing in this agreement excludes or limits anyone’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited by law.

Our responsibility to Consumers

1. If you are a Consumer, we are responsible for foreseeable loss and damage that we cause you by breaking this agreement or by failing to use reasonable care and skill. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by you and us when you accepted this agreement. We are not responsible for loss that was not foreseeable, or for loss of profit or other business loss, because the Beta is not intended for business use by Consumers.

Our responsibility to businesses

1. If you are not a Consumer (for example, you are a Project Expert or a business Project Owner), the Beta is provided “as is” and, to the extent permitted by law, we exclude all warranties and representations. We are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, contracts, anticipated savings, goodwill, or for any indirect or consequential loss. Our total liability to you for all claims arising out of or in connection with the Beta is limited to the total fees paid by you to LinkMiUp for use of the Platform (or £100 where no fees have been paid).

Things we are not responsible for

1. Subject to clauses 10.1 and 10.2, we are not responsible for the services, advice, designs, work, fees, insurance, delays, defects or conduct of any Project Expert; the decisions of any Project Owner; the contract between a Project Owner and a Project Expert; or the cost, timing or outcome of any project. Our responsibility is limited to the Platform that we provide.

Your responsibility

1. If you are not a Consumer, you will compensate us for any claim by a third party, and for the losses and reasonable costs we incur in connection with it, to the extent it arises from your Participant Content, your services, or your breach of this agreement or the law.

GENERAL

Entire agreement

1. This agreement and the Terms of Use are the entire agreement between us about the Beta and replace any earlier discussions or understandings about it. Nothing in this clause limits liability for fraud or fraudulent misrepresentation.

Changes

1. We may change this agreement by giving you reasonable notice by email or on the Platform. If you do not agree to a change, you can stop taking part before it takes effect. A change does not affect any dispute that arose before the change.

Transfer

1. You cannot transfer your rights or obligations under this agreement without our written consent. We may transfer our rights and obligations to another person, including a company that we set up to run the LinkMiUp business, and we will tell you if we do. A transfer will not reduce your rights.

Notices

1. We will give you notices by email to the address on your account or on the Platform. You can give us notice by email to contact_us@linkmiup.com.

Waiver, severance and third parties

1. A failure or delay in enforcing a right is not a waiver of it. If part of this agreement is found to be unenforceable, the rest continues to apply. Nobody who is not a party to this agreement has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.

Electronic acceptance

1. You and we agree that this agreement is validly made when you accept it electronically, and that a record of your acceptance is evidence of it.

Governing law and courts

1. This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a Consumer living in Scotland or Northern Ireland, you may also bring proceedings in the courts of the part of the UK where you live.

ACCEPTANCE

This agreement has been accepted by the person or business that registered for the Beta, as shown in our records, and by us.

Accepted by Leopold Isaacs, trading as LinkMiUp.

1. PROJECT OWNERS

Your acknowledgements

This Schedule applies if you take part as a Project Owner. By ticking the confirmation box before you create a project, and by accepting this agreement, you confirm that:

1) the Platform’s journey maps, checklists, cost and risk tools, and suggestions (including those made with artificial intelligence) are general guidance, not professional, legal, financial or technical advice, and every project is different;

2) you are responsible for your own project decisions, including whether, when and with whom to proceed, your budget and your approvals;

3) you will take your own professional advice, including about planning permission, building regulations, party wall matters, health and safety and insurance, before you rely on any guidance;

4) LinkMiUp does not carry out, check or take responsibility for the work of any Project Expert; and

5) you will make your own checks of any Project Expert’s qualifications, registrations, insurance, references and previous work before you decide to work with them.

Working with Project Experts

1) Your contract with a Project Expert is directly between you and that Expert. We recommend that you agree the scope, fees, payment terms, programme and insurance in writing before work starts.

2) You will pay the Expert directly. We do not hold or handle those payments.

3) If you are a Consumer, you may have rights under consumer law against the Expert, including cancellation rights. Those rights are between you and the Expert.

4) You must not share an Expert’s drawings, calculations, reports or designs with anyone else unless your contract with the Expert allows it.

5) Your reviews of Experts must be honest and based on your own experience.

2. PROJECT EXPERTS

Your status and information

This Schedule applies if you take part as a Project Expert.

1) You are an independent business. You are not our employee, agent or partner.

2) You confirm that the information on your profile is accurate, including your qualifications, professional body memberships and registrations, insurance and areas covered, and you will tell us promptly if any of it changes.

3) You agree that we may check your registrations against public registers and show a verification status on your profile, as described in the Terms of Use. Information that we have not verified is shown as declared by you.

4) You must hold the licences, registrations and insurance (including professional indemnity insurance where your services call for it) that are appropriate to the services you offer, and you must keep them in place while you take part in the Beta.

Your services

1) You will contract directly with Project Owners on your own terms, which you are responsible for, and you must give them clear written terms for your services.

2) You must carry out your services with reasonable skill and care and in line with the law and the rules of your profession.

3) If you deal with a Consumer, you are responsible for complying with consumer law, including rules on pre-contract information and cancellation rights that apply to your contract.

4) You must respond honestly to requests for proposals and must not misstate your experience, availability or qualifications.

Withdrawing from a project

1) If you accept a project and later need to withdraw, you must tell the Project Owner and us as early as you can, and take reasonable steps to hand over the work you have done.

2) We do not charge you a fee for withdrawing during the Beta. Your obligations to the Project Owner under your contract with them are not affected, and we will deal with any record of your withdrawal in line with clause 8.3.

Documents and intellectual property

1) You keep your intellectual property rights in the drawings, calculations, reports and designs that you prepare, subject to your contract with the Project Owner.

2) You must only upload documents that you have the right to upload, and you give us the licence in the Terms of Use to host and share them as you direct.

3) We may keep a copy of documents after a project closes in line with the Terms of Use and the Privacy Policy.
